This agreement outlines the terms and conditions applicable to the use of the electronic payment processing service provided through the virtual terminal by XELL. Through our platform, buyers can make payments quickly and securely at merchants using our virtual terminals. It is important to note that XELL has no direct relationship with the goods or services offered by merchants; therefore, we do not assume responsibility for their quality or the fulfillment of the agreement between the merchant and the buyer.

This agreement is for an indefinite period of time, applicable from the moment you accept these terms and for as long as you make use of the XELL virtual terminal for your payments.

Below are some definitions to facilitate the understanding of this contract:

• Virtual Terminal: Electronic tool provided by XELL that allows the merchant to accept electronic payments without the need for a physical device, facilitating the management of payments remotely.
• Acquirer: Entity licensed by the Payment Methods Franchises to process payment orders, funds transfers and manage the linking of Merchants to payment systems. Includes card issuers and other Payment Methods with which XELL has an agreement.
• Payment Channel: Any device or technology provided by XELL that allows customers to make electronic payments, such as virtual terminal, payment link, or tap on phone.
• Buyer Customer: Natural or legal person that makes electronic payments through XELL’s Payment Channels.
• Electronic Payment: The transfer of funds made by the Buyer Customer through the Payment Channels, which is perfected when the funds are withdrawn from the Buyer Customer’s account.

• Modifications: XELL reserves the right to modify these terms at any time. Changes will be effective once they are posted on our website or communicated by other appropriate means. If you do not agree to the modifications, you must refrain from further use of the service.
• Assignments: XELL may assign this contract, in whole or in part, upon prior notice.
• Suspension of Services: XELL may temporarily suspend the use of the virtual terminal for maintenance or upgrades. We will inform you in a timely manner, unless it is a case of force majeure that prevents us from notifying you.
• Best Efforts: XELL will make every effort to provide you with adequate access to the services and to keep the platform active. However, we are not responsible for failures caused by third party services, such as internet providers or infrastructure problems.

• Use of the Virtual Terminal: As a Buyer Client, you can use XELL’s virtual terminal to make secure payments at no additional cost to you.

• Filing Complaints: You may submit inquiries, complaints, and claims at any time through our customer service channels, available at www.xell.shop.

• Payment Reversal and Refunds: As a Buyer Client, you may exercise your right of withdrawal in accordance with applicable U.S. legislation. In such cases, XELL, together with the involved acquirers and issuers, will process the corresponding refund within the legally established timeframes.

• Legal Compliance: As a Buyer Client, you must comply with all tax, customs, and other obligations arising from the use of the service.

• Fraud Prevention: You may not use the virtual terminal to facilitate illicit or fraudulent activities. If fraudulent activity is detected, XELL reserves the right to immediately suspend the service and take appropriate legal action.

As a Buyer Customer, you must accept and comply with XELL’s Personal Data Processing Policy, available at www.xell.shop/legal. This policy is an integral part of these terms.

XELL holds all rights to the software, website design, applications, and distinctive signs related to the brand. You are granted a limited, revocable, and non-exclusive license to use XELL’s platform as long as you comply with the terms of this agreement.

In case of disputes or complaints arising from the use of the virtual terminal service, we will attempt to resolve them directly within 30 days of notification of the problem. If we are unable to reach an amicable resolution, disputes will be resolved before the appropriate jurisdiction.

XELL is committed to preventing fraud in the use of the virtual terminal. In cases of suspected fraud or unusual activities, we reserve the right to temporarily block access to the service until the legitimacy of the transactions is confirmed.
